Terms and Conditions

of

Wibros GmbH („Wibros”), established under German limited liability company law, represented by the General Manager Marc Wiedmaier.

Preamble, Applicable Law

Wibros operates Websites that offer and sell products to customers. These Terms and Conditions are a translation of the Wibros "Allgemeine Geschäftsbedingungen (AGB)", general terms and conditions that are attached at the end of this document. In case of any disputes between Wibros and the customer, German law shall be solely applicable, including these German "Allgemeine Geschäftsbedingungen". In the online shop both documents can be downloaded (PDF-Files, Download Adobe Acrobat Reader).

§ 1 Choice of products

1. Customers can choose and order products on the Websites
2. Products have product-descriptions that give detailed information to customers
3. Customers can add products to a virtual shopping cart. After having finished shopping the customer is informed about the total price including value added tax (V.A.T.) and shipping costs.
   
   Note: Customers from outside the European Union are not subject to V.A.T., but are responsible for payment of all potential duty, sales-tax and import-tax of their country of origin. Potential duty, sales-tax and import-tax is not displayed during the sales process.
4. Before the order is finally placed the customer is able to check prices and quantities. Customers can change quantities and delete products from the shopping cart before the binding order is finally placed.

§ 2 Return Policy / Revocation

1. Customers that are consumers (non business customers) have the right to revoke their order and return all products (revocation) within two weeks starting from the day of receiving the delivery. If a customer wishes to return products he/she can contact (in writing) Wibros through telefax, mail or email:

   It is not necessary to name any reason for the revocation.
2. Consequences of revocation
   Customers get full refund if the goods are returned in their original condition to the Wibros service center in Germany (return address is printed on the invoice). If the total order value was higher than 40 Euros or Wibros shipped the wrong products according to the order Wibros will cover the return shipping costs.
   
   Note: Customers from outside the European Union are responsible for return shipping costs and subject to a 10% restocking fee if products are returned.

§ 3 Prices / Shipping costs

1. Prices are valid as shown on the website when the order is processed.
2. All prices are ex warehouse Wibros and include Value Added Tax (V.A.T). Shipping and packing is added extra.
3. The amount of shipping costs can be seen in the shopping cart before the order is finally placed.

§ 4 Contract

1. The order by a customer constitutes merely an offer to Wibros to enter into an agreement. After such an offer was placed Wibros will send an email to the customer that confirms that the order was received (Order Confirmation). The Order Confirmation does not yet constitute a binding contract of sale. A binding contract of sale shall come into being if, when and only to the extent to which Wibros ships a product and confirms the shipping with a 2nd email (Shipping Confirmation). A contract of sale will not come into being with products that were ordered and are not included in the Shipping Confirmation.
2. If Wibros is not able to deliver products that have been ordered, particularly if Wibros suppliers are not fulfilling their obligations, Wibros can cancel orders or parts of orders. In this case the customer is informed immediately by email.

§ 5 Terms of payment / Conditional sale

1. Wibros issues an invoice for all ordered products that is either send to the customer by email prior to delivery or together with the delivered goods. The general payment term is payment in advance by credit card, Paypal (www.paypal.com) or bank transfer (see below for Wibros bank account). The accepted payment methods can vary depending on the customer's country of origin.
2. Prices stated in the invoice include Value added Tax (V.A.T.) if the products are shipped within the European Union.
   
   Note: Customers from outside the European Union are not subject to V.A.T., but are responsible for payment of all potential duty, sales-tax and import-tax of their country of origin.
3. If the customer is a private consumer a delay of payment will result in a default interest of 5% above the base lending rate of the European Union. If the customer is a business customer (company) a delay of payment will result in a default interest of 8% above the base lending rate of the European Union.
4. All products remain property of Wibros until they are completely paid for (Conditional sale).

§ 6 Liability for defects

1. The Customer has to report any defects of the product immediately to Wibros. If products are returned Wibros will cover the shipping costs for customers within the European Union.
2. Liability for defects claims do not exist if
   1. nature and character of deviation is insubstantial
   2. useability is only affected insubstantially
   3. wear and tear of product
   4. product was modified by customer or third party, improperly maintained, repaired, used or exposed to ambient conditions that are not corresponding to the manufacturers instructions for use unless the customers provides evidence that the defect was not caused by the above circumstances.
3. Liability for defects only exists if the defect was already existent before passing of the risk.
4. If a defect is existent at the time of the passing of risk, Wibros can choose between rectification of defects or replacement delivery. All replaced parts become property of Wibros. If the rectification of defects and replacement delivery fail because the costs would be disproportional or exceed a written set time limit the customer has the right to choose between cancellation of the contract or abatement of the purchase price. If Wibros has delivered a replacement product the customer has to give back the defect product and pay for potential advantages he had from the product. In case of contract cancellation the customer receives a refund consisting of the original price less the advantages from the usage of the product. The advantage is calculated by comparing the time of usage by the customer to the regular life span of the product.
5. The Liability for defects is limited to 12 months from the time of delivery.

§ 7 Limitation of liability

1. As far as these Terms and Conditions do not state anything to the contrary there are no further customer claims applicable (regardless of reason). In particular, Wibros is not responsible for any defects that have not originated on the product itself, particularly not for loss of profit or other asset loss.
2. This limitation of liability (1) does not apply if
   1. the cause of the damage was an act of gross negligence or wilfull intent by Wibros
   2. Wibros neglected essential business duties it has to take responsibility for

§ 8 Force majeure

1. If Wibros can not render services due to force majeure it is reliefed from its duties during the duration of the cause.
2. The customer can cancel the order if Wibros can not execute the order for longer than one month.

§ 9 Privacy

The execution of orders is done by electronic data processing. By accepting this document the customers also accepts that personal data is processed that Wibros needs to correctly ship, bill, and contact customers regarding an order. The customer also accepts that Wibros gives personal data to business partners needed to fulfill the order (f. e. dispatch and payment).

1. Personal data
   We gather only the information necessary to correctly ship, bill, and if need be, contact you regarding an order.
2. Disclosure of Personal Data to third Parties
   We will disclose data only to our dispatch- and payment partners and only on a need to know basis for them to execute customer orders. Besides that we will neither sell, rent, lease, trade, nor otherwise disclose any of your information to anyone for any reason.
3. Cookies
   Cookies are alphanumeric identifiers that we transfer to your computer's hard drive through your Web browser to enable our systems to recognize your browser and to provide all features of our website. Most browsers can be set to prevent them from accepting cookies. However, if you disable the Cookie feature, you will not be able to make use of all features of our website.
4. SSL Socket Layer (SSL)
   A Secure Socket Layer (SSL) is an industry standard used to encrypt information provided online. When you are asked to give personal and credit card information, a SSL will always be in use for your protection.
5. Changing Personal data
   You can change your personal data anytime by logging into your account. For safety reasons, you can not delete your account by yourself. If you want to get your account deleted or if you have any questions about privacy you can contact us anytime. Please use the Contact form on our website.

§ 10 Final provisions, Governing law, Place of Jurisdiction

If any part of the above provisions should be invalid for violation of mandatory law then all other provisions shall not be touched by this circumstance. Wibros and the customer will then replace the invalid provision by a valid provision that comes closest to the intention of both parties.

The customer agrees that the laws of the Federal Republic of Germany shall exclusively govern the business relationship between WIBROS and the customer and any dispute of any sort that might arise between the customer and Wibros. The customer also agrees that for all legal disputes the Courts of Mainz, Germany shall have exclusive jurisdiction, unless this is prohibited by mandatory law.

Allgemeine Geschäftsbedingungen

der Wibros GmbH (nachfolgend WIBROS genannt), gesetzlich vertreten durch den Geschäftsführer Marc Wiedmaier.

Die vorliegenden Allgemeinen Geschäftsbedingungen (AGB) können von dem Kunden in digitaler Form (als PDF-Datei, Download Adobe Acrobat Reader) im Online Shop geladen werden. Auf Wunsch können sie unter der E-Mail-Adresse mail@wibros.de in digitaler oder schriftlicher Form angefordert werden. Zur Dokumentation werden dem Kunden die AGB zusätzlich bei jeder Rechungszustellung per Mail ausgehändigt. Die ladungsfähige Anschrift von WIBROS sowie die Vertretungsberechtigten können dem Impressum des Online Shops sowie den Rechnungen entnommen werden.

Präambel

WIBROS betreibt zu gewerblichen Zwecken Websites und bietet Kunden auf diesen Websites Produkte zum Kauf über das Internet an.

§ 1 Produktauswahl

1. Der Kunde hat die Möglichkeit, auf den Websites Produkte auszuwählen und zu bestellen.
2. Hinsichtlich jedes Produkts erhält der Kunde eine gesonderte Produktbeschreibung auf der jeweiligen Website.
3. Der Kunde kann die von ihm gewünschten Produkte auf der Website anklicken. Diese werden in einem virtuellen Warenkorb gesammelt und der Kunde erhält zum Ende seines Einkaufs eine Zusammenstellung der Produkte zum Gesamtendpreis inklusive Mehrwertsteuer.
4. Vor Versendung der Bestellung ermöglicht WIBROS dem Kunden, die Bestellung auf ihre inhaltliche Richtigkeit, insbesondere auf Preis und Menge, zu überprüfen und gegebenenfalls zu korrigieren.

§ 2 Widerrufsbelehrung

Verbrauchern steht ein Widerrufsrecht nach folgender Maßgabe zu, wobei Verbraucher jede natürliche Person ist, die ein Rechtsgeschäft zu einem Zwecke abschließt, der weder ihrer gewerblichen noch ihrer selbständigen beruflichen Tätigkeit zugerechnet werden kann:

Sie können Ihre Vertragserklärung innerhalb von 14 Tagen ohne Angabe von Gründen in Textform (z. B. Brief, Fax, E-Mail) oder - wenn Ihnen die Sache vor Fristablauf überlassen wird - auch durch Rücksendung der Sache widerrufen. Die Frist beginnt nach Erhalt dieser Belehrung in Textform, jedoch nicht vor Eingang der Ware beim Empfänger (bei der wiederkehrenden Lieferung gleichartiger Waren nicht vor Eingang der ersten Teillieferung) und auch nicht vor Erfüllung unserer Informationspflichten gemäß Artikel 246 § 2 in Verbindung mit § 1 Absatz 1 und 2 EGBGB sowie unserer Pflichten gemäß § 312g Absatz 1 Satz 1 BGB in Verbindung mit Artikel 246 § 3 EGBGB. Widerrufsfolgen
Im Falle eines wirksamen Widerrufs sind die beiderseits empfangenen Leistungen zurückzugewähren und ggf. gezogene Nutzungen (z. B. Zinsen) herauszugeben. Können Sie uns die empfangene Leistung sowie Nutzungen (z.B. Gebrauchsvorteile) nicht oder teilweise nicht oder nur in verschlechtertem Zustand zurückgewähren beziehungsweise herausgeben, müssen Sie uns insoweit Wertersatz leisten. Für die Verschlechterung der Sache und für gezogene Nutzungen müssen Sie Wertersatz nur leisten, soweit die Nutzungen oder die Verschlechterung auf einen Umgang mit der Sache zurückzuführen ist, der über die Prüfung der Eigenschaften und der Funktionsweise hinausgeht. Unter „Prüfung der Eigenschaften und der Funktionsweise” versteht man das Testen und Ausprobieren der jeweiligen Ware, wie es etwa im Ladengeschäft möglich und üblich ist. Paketversandfähige Sachen sind auf unsere Gefahr zurückzusenden. Sie haben die regelmäßigen Kosten der Rücksendung zu tragen, wenn die gelieferte Ware der bestellten entspricht und wenn der Preis der zurückzusendenden Sache einen Betrag von 40 Euro nicht übersteigt oder wenn Sie bei einem höheren Preis der Sache zum Zeitpunkt des Widerrufs noch nicht die Gegenleistung oder eine vertraglich vereinbarte Teilzahlung erbracht haben. Anderenfalls ist die Rücksendung für Sie kostenfrei. Nicht paketversandfähige Sachen werden bei Ihnen abgeholt. Verpflichtungen zur Erstattung von Zahlungen müssen innerhalb von 30 Tagen erfüllt werden. Die Frist beginnt für Sie mit der Absendung Ihrer Widerrufserklärung oder der Sache, für uns mit deren Empfang.

Finanzierte Geschäfte
HWenn Sie diesen Vertrag durch ein Darlehen finanzieren und ihn später widerrufen, sind Sie auch an den Darlehensvertrag nicht mehr gebunden, sofern beide Verträge eine wirtschaftliche Einheit bilden. Dies ist insbesondere dann anzunehmen, wenn wir gleichzeitig Ihr Darlehensgeber sind oder wenn sich Ihr Darlehensgeber im Hinblick auf die Finanzierung unserer Mitwirkung bedient. Wenn uns das Darlehen bei Wirksamwerden des Widerrufs oder bei der Rückgabe der Ware bereits zugeflossen ist, tritt Ihr Darlehensgeber im Verhältnis zu Ihnen hinsichtlich der Rechtsfolgen des Widerrufs oder der Rückgabe in unsere Rechte und Pflichten aus dem finanzierten Vertrag ein. Letzteres gilt nicht, wenn der vorliegende Vertrag den Erwerb von Finanzinstrumenten (z.B. von Wertpapieren, Devisen oder Derivaten) zum Gegenstand hat.

Wollen Sie eine vertragliche Bindung so weitgehend wie möglich vermeiden, machen Sie von Ihrem Widerrufsrecht Gebrauch und widerrufen Sie zudem den Darlehensvertrag, wenn Ihnen auch dafür ein Widerrufsrecht zusteht.

Das Widerrufsrecht besteht

1. nicht bei Fernabsatzverträgen zur Lieferung von Waren, die nach Kundenspezifikation angefertigt werden oder eindeutig auf die persönlichen Bedürfnisse zugeschnitten sind oder die auf Grund ihrer Beschaffenheit nicht für eine Rücksendung geeignet sind oder schnell verderben können oder deren Verfalldatum überschritten würde,
2. nicht bei Fernabsatzverträgen zur Lieferung von Audio- oder Videoaufzeichnungen oder von Software, sofern die gelieferten Datenträger von Ihnen entsiegelt worden sind.

Allgemeine Hinweise

1. Bitte vermeiden Sie Beschädigungen und Verunreinigungen der Ware. Senden Sie die Ware bitte möglichst in Originalverpackung mit sämtlichem Zubehör und mit allen Verpackungsbestandteilen an uns zurück. Verwenden Sie ggf. eine schützende Umverpackung. Wenn Sie die Originalverpackung nicht mehr besitzen, sorgen Sie bitte mit einer geeigneten Verpackung für einen ausreichenden Schutz vor Transportschäden.
2. Senden Sie die Ware bitte möglichst nicht unfrei an uns zurück. Wir erstatten Ihnen auch gerne auf Wunsch vorab die Portokosten, sofern diese nicht von Ihnen selbst zu tragen sind.
3. Bitte beachten Sie, dass die vorgenannten Ziffern 1-2 nicht Voraussetzung für die wirksame Ausübung des Widerrufsrechts sind.

§ 3 Preise / Versandkosten

1. Es gelten die Listenpreise im Zeitpunkt der Bestellung, wie sie auf den Internetseiten dargestellt wurden.
2. Die Preise verstehen sich ab Betriebssitz von WIBROS inklusive Mehrwertsteuer. Kosten für Verpackung und Versand werden dem Kunden zusätzlich berechnet.
3. Die Höhe der anfallenden Versandkosten werden dem Kunden vor Abgabe der Bestellung im Warenkorb angezeigt.

§ 4 Vertragsschluss

1. Die Bestellung des Kunden stellt ein Angebot an WIBROS zum Abschluss eines Kaufvertrages dar. Wenn der Kunde eine Bestellung an WIBROS aufgibt, versendet WIBROS an den Kunden eine E-Mail, die den Eingang der Bestellung bei WIBROS bestätigt und deren Einzelheiten aufführt (Bestellbestätigung). Diese Bestellbestätigung stellt noch keine Annahme des Kaufangebotes des Kunden dar, sondern soll den Kunden nur darüber informieren, dass dessen Bestellung bei WIBROS eingegangen ist. Ein Kaufvertrag kommt erst dann zustande, wenn WIBROS das bestellte Produkt an den Kunden versendet oder die Bestellung mit einer zweiten email an den Kunden annimmt (Auftragsbestätigung). Über Produkte aus ein und derselben Bestellung, die nicht in der Versandbestätigung aufgeführt sind, kommt kein Kaufvertrag zustande.
2. Falls WIBROS ohne eigenes Verschulden zur Lieferung der bestellten Ware nicht in der Lage ist, insbesondere weil der Lieferant von WIBROS seine Verpflichtungen nicht erfüllt, ist WIBROS dem Kunden gegenüber zum Rücktritt berechtigt. In diesem Fall wird der Kunde unverzüglich darüber informiert, dass das bestellte Produkt nicht zur Verfügung steht. Die gesetzlichen Ansprüche des Kunden bleiben unberührt.
3. Der Kunde hat die Möglichkeit, den Kaufvertrag in Deutscher oder Englischer Sprache abzuschließen.

§ 5 Zahlungsbedingungen / Eigentumsvorbehalt

1. WIBROS stellt dem Kunden für die bestellte Ware eine Rechnung aus, die ihm entweder vorab per Email oder bei Lieferung der Ware ausgehändigt wird. WIBROS liefert gegen Vorkasse, Kreditkartenzahlung, Zahlung mittels PAYPAL, (www.paypal.de), Lastschrift, Sofortüberweisung (www.payment-network.com), per Nachnahme, per Klarna Rechnungskauf oder durch Finanzierung durch eine Partnerbank.
2. Preise auf der Rechnung sind stets Endkundenpreise inklusive Mehrwertsteuer.
3. Bei Zahlungsverzug ist der Kunde, der Verbraucher ist, verpflichtet, Verzugszinsen in Höhe von 5 % über dem Basiszinssatz an WIBROS zu bezahlen, es sei denn, dass WIBROS einen höheren Zinssatz nachweisen kann. Bei Kunden, die Unternehmer sind, gilt Satz 1 mit der Maßgabe, dass der Verzugszinssatz 8 % über dem Basiszinssatz beträgt.
4. Die gelieferte Ware bleibt bis zur vollständigen Bezahlung im Eigentum von WIBROS.
5. Bei Zahlung durch Finanzierung durch eine Partnerbank von WIBROS, nehmen wir die Bestellung des Kunden vorbehaltlich eines positiven Bescheids der Partnerbank entgegen.

§ 6 Mängelhaftung

Es gilt die gesetzliche Mängelhaftung

§ 7 Höhere Gewalt

1. Für den Fall, dass WIBROS die geschuldete Leistung aufgrund höherer Gewalt (insbesondere Krieg, Naturkatastrophen) nicht erbringen kann, ist sie für die Dauer der Hinderung von ihren Leistungspflichten befreit.
2. Ist WIBROS die Ausführung der Bestellung bzw. Lieferung der Ware länger als einen Monat aufgrund höherer Gewalt unmöglich, so ist der Kunde zum Rücktritt vom Vertrag berechtigt.

§ 8 Schlussbestimmungen

Sollte eine Bestimmung dieser Bedingungen nichtig sein oder werden, so bleiben die Bedingungen im Übrigen wirksam. WIBROS und der Kunde werden die nichtige Bestimmung durch eine solche wirksame ersetzen, die dem Willen der Vertragspartner wirtschaftlich am nächsten kommt.
